Terms of Service

These Terms of Service (“Terms”) govern your use of the CiteMetrix platform at https://citemetrix.com (the “Service”), operated by CiteMetrix LLC (“we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. Service Description

CiteMetrix is an AI visibility monitoring platform that:

• Tracks how AI platforms (ChatGPT, Perplexity, Claude, Google Gemini, Google AI Overviews, and Grok) cite and reference your brand.
• Generates a composite ModelScore™ reflecting your overall AI search visibility.
• Provides citation tracking, competitor analysis, and actionable recommendations.
• Optionally integrates with Google Search Console for search performance data.

We reserve the right to modify, update, or discontinue any features of the Service at any time with reasonable notice.

4. Subscriptions & Payments

Plans & Pricing

CiteMetrix offers subscription plans at prices listed on our website. Prices are subject to change with 30 days’ notice to existing subscribers.

Billing

• Subscriptions are billed monthly or annually, depending on the plan selected.
• Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
• All fees are non-refundable except as required by applicable law or as stated in our refund policy.

Cancellation

• You may cancel your subscription at any time from your account settings.
• Cancellation takes effect at the end of your current billing period. You will retain access until then.
• No partial refunds are provided for unused time within a billing period.

Founding Member Rates

Founding member pricing is offered during our initial launch period. Founding member rates are locked in for as long as your subscription remains active and in good standing. Rates will revert to standard pricing if your subscription lapses or is cancelled.

5. Free Beta Program

During our beta period, certain features may be provided at no cost. Beta features are provided “as is” and may be modified, limited, or discontinued at any time without notice. Beta users acknowledge that the Service may contain bugs or errors, and agree that we are not liable for any data loss or service interruptions during the beta period.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers) to access the Service beyond its intended functionality.
• Resell, redistribute, or sublicense access to the Service without our written permission.
• Intentionally overload or disrupt the Service’s infrastructure.
• Share your account credentials with unauthorized users.
• Use the Service to harass, defame, or harm others.

7. Intellectual Property

Our Property

The Service, including its design, code, features, ModelScore™ methodology, branding, and documentation, is owned by CiteMetrix LLC and is protected by copyright, trademark, and other intellectual property laws. “CiteMetrix,” “ModelScore,” and related logos are trademarks of CiteMetrix LLC.

Your Data

You retain ownership of the data you provide to the Service (e.g., keywords, brand names, website URLs). By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

Generated Reports

Reports and analytics generated by CiteMetrix are provided for your internal business use. You may share reports with your clients or stakeholders as part of your normal business operations.

8. Third-Party Services & APIs

The Service integrates with third-party platforms and APIs, including Google Search Console, OpenAI (ChatGPT), Anthropic (Claude), Perplexity, Google (Gemini and AI Overviews), and xAI (Grok). Your use of these integrations is subject to:

• The respective third party’s terms of service and privacy policies.
• Our Privacy Policy, including the Google API Limited Use Disclosure.

We are not responsible for changes in third-party APIs that may affect the Service’s functionality. If a third-party provider restricts or discontinues API access, certain features of the Service may be limited or unavailable.

9. Data Accuracy & Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Specifically:

• AI citation data is based on responses from third-party AI platforms, which may change over time and vary by session.
• ModelScore™ is a composite metric based on our proprietary methodology and should be used as one data point among many in your marketing strategy.
• We do not guarantee the accuracy, completeness, or timeliness of any data provided through the Service.
• Google Search Console data is provided by Google and is subject to Google’s own data processing and accuracy limitations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDIAMANAGEMENT MARKETING SERVICES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless CiteMetrix LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the Service, violation of these Terms, or infringement of any third party’s rights.

12. Termination

• By You: You may close your account at any time by contacting us or through your account settings.
• By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice where practicable.

Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Fairfield County, Connecticut.

Before initiating formal legal proceedings, both parties agree to attempt good-faith negotiations for a period of at least 30 days.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
